Course Syllabus

Abstract

This Course is one of the special disciplines facilitating the study of international trade mechanisms. "International Business Transactions" Course allows to examine the nature and content of international commercial transactions, organizational and legal regulation of international commercial practices. Special attention is dedicated to the organization of international commercial transactions of goods, services, including intellectual ones and works: the preparation and conclusion of international trade deals; purchase and sales contracts content; transactions carried out through commercial intermediaries; operations carried out in the international commodity exchanges, auctions, tenders, international exhibitions and fairs. The discipline allows to study in detail the exchange of R&D expertise, technical services, lease. Particular attention is dedicated to companies’ commercial activities related to the implementa-tion of agreements on international industrial and technical cooperation. An important role in the Course is dedicated to practical studies and self-study activities.

  • Structure and the content of the contract for transactions of goods
    Structure and the content of the contract for transactions of goods. Incoterms 2010 key terms. Review of the form of commercial contract. Antitrust and compliance issues in interna-tional business transactions. Review of ex-ample of merger control questionnaire and compliance basics.
  • M&A transactions - guide on key practical issues
    M&A transactions - guide on key practical issues. Review of SPA market terms com-parison. Mock case - negotiation of key terms of an M&A transaction.
  • Joint ventures: structuring, key issues to be addressed
    Joint ventures: structuring, key issues to be addressed. JVA checklist and sample JV chart for share transfers terms.
  • Intellectual property aspects in international business transactions, terms of technology transfer
    Intellectual property aspects in international business transactions, terms of technology transfer, license agreement and the content of TRIPS agreement
  • Public-Private Partnerships
  • Tax aspects/customs regulation of interna-tional business transactions
    Tax aspects/customs regulation of interna-tional business transactions: customs clear-ance procedures, customs regime and control, specific customs regulations, customs fees (WTO, other aspects).
  • Dispute resolution and arbitration in international business transactions
  • Project management: how to structure the process properly, tips for successful negoti-ation strategy
