<p>The paper is devoted to analysis of civil and corporate legisaltion as well as relevant court practice with respect to the grounds and procedure of holding the chief executive officer liable for the losses incurred by the joint stock company. Special emphasis was put on correlation between guilt and wrongfulness of the general director's behaviour and the allocation of the burden of proof between the shareholders (company) and the director.</p>
