<p>This master&#39;s thesis contains analysis of issues related to the legal nature of mandatory offer, justification of its necessity in the Russian legal system, assessment of its efficiency and options for its enchancement for the purpose of enhanced protection of rights and interests of minority shareholders, and establishment of a balance between rights and interests of minority shareholders and purchasers &nbsp;of major stakes in Russian open joint-stock companies.</p>
