Protecting the Rights of Shareholders on the Acquisition of more than 30% Shares of a Company

The aim is to study ways to protect the rights of shareholders on the acquisition of more than thirty percent of the shares. Based on the above object can be formulated as the following tasks: - To analyze the formation and development of the acquisition of the Institute for more than thirty percent of the shares of the company; - Identify the problems of legal regulation of protection of shareholders' rights on the acquisition of more than thirty percent of the shares; - Identify problems of law enforcement practice on the protection of the rights of shareholders on the acquisition of more than thirty percent of the shares; - Identify trends to improve the legal regulation of the protection of the rights of shareholders on the acquisition of more than thirty percent of the shares. As a result of this work we investigated the problem of the institution of protection of shareholders' rights on the acquisition of more than thirty percent of the shares of the company and made concrete proposals to improve the federal law "On Joint Stock Companies". In particular, it proposed to the definition of "affiliated persons" of corporate relations for regulatory purposes, to replace the institution of a bank guarantee other measures to ensure the fulfillment of an obligation to strengthen the responsibility for violation of the obligations under the direction of mandatory offer.
