Shareholders' Agreements under Russian Law

Final qualifying work is devoted to research institute of corporate agreements under Russian law. The aim of this work is to analyze and research the institute of shareholders` agreements. To achieve the aim, we have considered the following objectives: - To define the concept and the legal nature of shareholders` agreements; - To examine types of shareholders` agreements; - To determine the place of shareholders` agreements in the system of civil-law regulation of corporate relations; - To reveal features of structure of legal relationships arising from shareholders` agreements; - To identify features of conclusion, execution and termination of shareholders` agreements; - To identify main ways of protection of rights from shareholders` agreements; - to identify the main practical features of conclusions and content of shareholders` agreements. During the research, we used different scientific methods: formal logic, structural and systemic methods, comparative legal, formal-legal and method of legal hermeneutics. The work is written on sixty-one page and divided into an introduction, five chapters and a conclusion. In the first chapter, we looked at the concept and the legal nature of shareholders` agreements. In the second chapter we have studied the classification of shareholders` agreements, and identified specific types of contracts on the basis of these classifications. In the third chapter we spoke about the place of shareholders` agreements in civil-law regulation of corporate relations. In the fourth chapter we examined ways of protection arising from shareholders` agreements. In the fifth chapter we have presented the main practical features of conclusions and content of shareholders` agreements. The topicality of this work lies in increase of attention to the regulation of shareholders` agreements, namely to shareholders` agreements as means of establishing obligations relations between participants of business entities.
