Warranties, Representations and Indemnities in Russian Law

This project is dedicated to the institutes representations and indemnities in Russian law. The main purpose of these institutes is to counterbalance contractual risks of the parties including corporate, commercial and other risks. While these institutes have been in operation in English contract law for centuries, the Russian Federation has included them in its Civil Code in 2015 as a part of extensive reform in Russian civil law. This research substantiates the necessity to apply these institutions in a proper way taking into account the features of Russian legal tradition. Due to extensive topic of the project introduces, the following matters are being covered: the concept and legal nature of representations and indemnities in English and Russian law; interpretation of these contractual clauses by Russian courts; the features of representations and indemnities in the context of diverse commercial agreements, including M&A transactions, share (stock) purchase agreements and real estate transactions.
