Board of Directors as a Management Body of Corporation

Special features of the Board of Directors as a Management Body of Corporation are analyzed in this research. The first chapter describes nature of the Board of Directors via the model of the corporate government and the competence of the Board of Directors. In the second chapter the structure of the Board of Directors and its forming are examined. The third part covers the problems of rewarding and legal responsibly. In the final chapter the author comes to conclusion, that according to the dispositive legal norms in Russian legislation flexible forming of the particular Board of Directors for each corporation is permitted.
