Legal Regulation of Institute of The State Registration of Legal Entities

There are many researches about the institute of the state registration of legal entities. In our research we disagree with a lot of conclusions of authors. In the most part it concerns an opinion on a positive tendency of development of the legislation in the sphere of the state registration of legal entities. As a result of research the purpose, tasks and characteristics of the institute of the state registration of legal entities were formulated and the critical analysis of legislation was carried out. Additionally the, as well as carry out critical analysis of legislation on state registration. As a result, research successfully identified essence of institute for state registration. Additionally, doctrinal definition was formulated, because of legal definition given in first article of Federal Law "On state registration of legal entities and individual entrepreneurs" doesn’t represent institutes’ essence and doesn’t comply with its main goal. We conclude that, despite some positive changes, such as reduction of term of the state registration, emergence of an opportunity to use the standard charter, generally the legislation in the sphere of the state registration of legal entities need to be reformed.
