The Law Applicable to Shareholders Agreements: Conflict Regulation

The subject matter of this master’s thesis is the conflict regulation of a shareholders’ agreement which in Russia, under the author’s opinion, is directly related to the substance and peculiarities of the relations governed by such an agreement. Considering shareholders’ agreements concluded with respect to Russian entities the author attempts to identify the relations which (i) may be governed by a foreign law; and (ii) notwithstanding the chosen applicable law shall be governed by the Russian legislation
