This Paper is about finding the interests of the members of the corporate relations in the sphere of challenging the major transactions and interested-party transactions. The Author discovers an issue on whose interests are protected under such legal provisions - the company's, its memers' or both. The Paper gives an analysis of researches' points on if a company could have its own interests other than its members' interests. Also it gives results of the research of the court practice to find out what is the position of courts on whose interests are protected by the styding legal provisions. In the end, the Author investigates the legal provisions itself, also retrospectively, and makes corresponding conclusions.
