The Doctrine of Piercing the Corporate Veil in Russian Law

The work is devoted to the content of the doctrine of piercing the corporate veil and identification of its objectives and main functions in the Russian law. The relevance of the study due to economic instability and lack of effective remedies for the rights and interests of creditors against abuse by the controlling corporation. The first Chapter analyzes the principles of independence and limited liability of participants of corporation on its obligations, because the doctrine of piercing the corporate veil arose as a response to the abuse of the corporate structure. Also the first Chapter provides the definition of the lifting of the corporate veil and studies its types. The second Chapter is devoted to the presentation of the doctrine of lifting the corporate veil in judicial practice and in the legislation of the USA in the country - the home of this Institute, as well as in the legislation of the Russian Federation. The final Chapter defines the legal categories of "purpose" and "function", identifies the purpose and function of the doctrine of piercing the corporate veil in general, and explores the question of the purpose and function of the doctrine of piercing the corporate veil in the Russian law within existing private law institutions.
