Fiduciary Duties in Corporate Relations

The present work is a research of the theory and practice of the regulation of the fiduciary relationships in a corporation under Russian corporate law. The choice of this topic is caused by a large number of judicial proceedings, which are devoted to the issue of corporate law being related to relationships between managers and owners of a corporation. The research consists of 3 chapters: the first chapter covers the historical development of fiduciary relationships, as well as their legal nature; the second chapter explains particular tendencies of statutory regulation of fiduciary corporate relationships in UK and USA; the third chapter of this work is based on analysis of Russian corporate law sources and research of Russian scholars papers.
