The theme of systematization of innovative enterprise development is quietly extended and discussed. Many scholars emphasize that innovative business has a positive influence on economic development in a whole country and its regions. However, there is little amount of literature on development of such business. In the research we created the ontological model, based on the mechanism that is implemented in NRU Higher School of Economics - Nizhny Novgorod. For data analysis we collected information of small businesses with its peculiarities. The result of the research was the algorithm of creation of spin-off company in Higher School of Economics. The basic concepts and aspects for each stage of spin-off growth were examined and then implemented in BPMN model, which describes the process of forming a company in a certain environment. The model can be a useful tool for young entrepreneurs or scientists who are ready to start their own business in the innovation sphere.
