The master's thesis was carried out within the framework of the comparative legal aspect of the board of directors in business entities of the Russian Federation and the Republic of Kazakhstan. The purpose of the dissertation research was a comprehensive, relatively-legal identification of factors affecting the formation of the Board of Directors in the Russian Federation and the Republic of Kazakhstan. The study examined such aspects as: the historical position of the board of directors in business entities of the Russian Federation and foreign countries, the order election of members of the Board of Directors, analysis of qualitative and quantitative composition, procedure for termination of powers of members of the Board of Directors in the Russian Federation and Kazakhstan. In the course of the work, the sources influencing the formation of the board of directors in Kazakhstan and Russia were determined. In this connection, the principles of corporate governance G20 / OECD, the Corporate Governance Code, the Code of Corporate Conduct, local corporate regulations were examined.
