Civil Protection of Shareholders\' Rights

In the course of active development of Russian corporate law and increasing the number of corporate disputes, the issue of the legal regulation of relations arising in the process of realizing and protecting the rights of shareholders becomes very urgent topical. Improvement of joint-stock legislation and fixation of norms that meet the requirements of legislation stipulates the need for detailed legal regulation of civil protection of shareholders' rights. In the course of the study defined of legal nature and classification of types of shareholders' rights and methods of their protection. The general and special, judicial and extrajudicial methods of protection are characterized, the arbitrage practice on protection of the violated rights of shareholders is analyzed. In the course of the study defined of grounds for refusal in court claims of shareholders which are aimed at protecting their rights, revealsed the problems of the legal regulation of the protection of shareholders' rights and developed recommendations for their elimination.
