Forcing Liquidation of a Legal Entity: the Public Law Issues

The presented study is devoted to the participation of state (municipal) authorities in the forcing liquidation of a legal entity (winding-up). Traditionally, the institution of liquidation of a legal entity is the subject of private legal research, at the same time, this institution includes public law issues related to the subject of administrative law regulation. Within the framework of this work, author makes an attempt to generalize theoretical and practical approaches to such public legal aspects of forcing liquidation as the powers of state (municipal) authorities to initiate the liquidation of a legal entity, administrative procedures of forcing liquidation. In this way, the institution has not been studied before. The author studies the problems of legal regulation of winding-up related to the recognition of the state registration of a legal entity as invalid, the appointment of a liquidation commission for forced liquidation, and others. Analyzing possible solutions to these problems, the author suggests the ways to improve the legal regulation of the liquidation of a legal entity with the participation of the public authorities.
