Civil Liability of Sole Executive Bodies and Members of Executive Board of Companies

The research is dedicated to the analysis of conditions of the civil liability of sole executive bodies and members of executive board of companies. The purpose of the work is to develop consistent approach to the conditions of the director’s civil liability. The author analyzes the nature of the director’s civil liability and illegal action, losses, casual connection between illegal action and losses, fault as the conditions of this liability. Also, the paper presents the consideration of weakening of civil liability or relief from the civil liability to which sole executive bodies and members of executive board are hold.
