This study examines the institutions of leaving and exclusion of member from a limited liability company, institutes are ways to protect the rights and legitimate interests of participants.The work determines the legal nature, a comprehensive overview of the issues relating to the grounds, procedures and consequences of these legal institutions. The work revealed the main conclusions about the problems of legal regulation of the institutes of leaving and exclusion of a member and assumptions about possible solutions.
