A Corporate Contract as a Mean of Overcoming Deadlocks

Corporate conflicts sometimes take place in organizations. Deadlocks are such conflicts, that block the future management of a corporation. Shareholders agreement is only one of the alternatives of conflict resolution. The institute of a corporate contract is relatively new to the Russian law system, so there’s no evident consistent approach to its understanding. The paper reviews the ways of using the institute of shareholders agreement for resolving deadlocks in Russian corporate law by inclusion of certain provisions into it.
