The reform of civil and corporate legislation demonstrates the tendency to implement in the legislation of the Russian Federation classical instruments and concepts of English law, which are in demand of market participants who are interested in structuring M&A transactions under Russian law. However, the validity of non-compete and non-solicit clauses in share purchase agreements and corporate agreements governed under Russian law still remains an urgent issue of interest to the business community. The research study is devoted to the analysis of non-compete and non-solicit clauses in corporate agreements and share purchase agreements under Russian law and determining the criteria for their validity, taking into account the experience in the regulation of these restrictive covenants in England, USA and the European Union.
