Legal Issues of Pledge of Shares of Private Limited Companies in Russia, Germany and the USA

The master paper analyses regulation of pledge of shares of private limited companies in Russia, Germany and the USA. Author ground the research on the grounds of Russian legal acts, court practice and doctrine as well as on experience on the USA and Germany within similar relations. The research concentrates mostly on issues of reallocation of control over asset between pledgor and pledgee. The author attempts to analyze present model considering principles of proportionality and justice and makes a conclusion on the model that is better comply with indicate principles. In addition, the author examines legal statuses of pledgor, pledgee and other owners of shares, discovers possible and the most significant problems associated with entering into the pledge relations and suggests possible solutions for the problem.
