Mergers and Acquisitions Transactions: Accounting and Analysis

In connection with necessity of accounting of mergers and acquisitions (M&A) transactions, which are widely used by companies to obtain additional benefits in the market, there is a question about the order of reflection operations, associated with such transactions, and evaluation of transactions effectiveness for its further increase. The main purpose of the work is to develop a methodology for accounting and efficiency analysis of mergers and acquisitions and its testing in the holding "STADA CIS".

In the first chapter, the information base of the efficiency analysis of mergers and acquisitions was considered, including the methodology of M&A accounting depending on the elements of the accounting method. The second chapter describes the M&A accounting in the holding "STADA CIS" using the methodology proposed in theory. The third chapter is devoted to the M&A efficiency analysis: a review of criteria and methods of efficiency analysis of mergers and acquisitions was given, econometric analysis of the M&A efficiency in the pharmaceutical industry and efficiency analysis of M&A transactions in the holding "STADA CIS" carried out, on the basis of which recommendations for its improvement was formulated.

As a result of the study, proposals for improvement the Russian accounting plan and recommendations to STADA CIS for optimizing the system of M&A accounting were made. In addition, as a result of the regression analysis a statistically significant dependence of the M&A efficiency from the financial condition of the company-buyer in the pharmaceutical industry was revealed. Recommendations for changing the financial performance of JSC "Nizhpharm" to improve the M&A efficiency were made.
