Liability of board of directors for decisions Maximov D.V. HSE Faculty of Law Thesis is devoted to the actual problem of the liability of members of the board of directors for their decisions. The author analyzes the legal aspects and the basis of liability of members of the board of directors. The thesis also affects the historical development of the board of directors in the corporate governance system. There were analyzed and considered the problems of liability risk insurance in Russia and the experience of foreign countries.
