Parties’ Possibility to Determine Rules for Interpretation of the Contract

This study sets out to examine the parties’ possibility to determine in the contract-drafting stage the rules, which would apply to the contract interpretation by court in case of the dispute settlement. The overall structure of the study takes the form of two chapters. This study first gives a brief overview of different approaches which exists in general, and existing rules for interpretations of the contract under Russian law. Moreover, the first chapter concerns the theoretical aspects of the possibilities to change the methodology of contract interpretation, provided by the Russian Civil Code. The second chapter examines the admissibility and the legal effect of the entire agreement clause. It also analyses if parties could exclude with their agreement contra proferentem rule in interpretation, and which text of a bilingual contract takes precedence in contract interpretation.
