Legal Problems of Holding the Director Accountable for Causing Damages to the Company

The problem of Chief Executive Officer’s (CEO’s) liability is one of the most prominent in modern corporate law. The relationship between the officer and the company is fiduciary, meaning that the director must act in the company’s best interests, abandoning his or her own. The purpose of the work is to identify the problems of bringing the head of the economic company to responsibility. To do this, it is necessary to study the legal relations and relations between the company and its sole executive body, the responsibility of the manager and the composition of responsibility. Particular attention should be paid to the principles of good faith and reasonableness in doctrine and judicial practice. The work consists of two chapters. The first chapter is devoted to the general provisions on the responsibility of the head of a legal and legal nature. The second chapter is devoted to the study of the composition of responsibility, including the definition of the composition of responsibility, as well as the definition in relation to the responsibility of the head of the legal entity and the studied approaches to understanding good faith and rationality.
