Assessment of Synergetic Effect of the Cross-Border Mergers and Acquisitions in the Russian Retail Market

In the modern world, cross-border mergers and acquisitions play a significant role in the development of an enterprise. Over time, the development of companies through organic growth becomes difficult, and therefore companies use such an instrument as mergers and acquisitions. However, the implementation of the deal in order to enter new markets is an extremely difficult process, since there are many risks. That is why the assessment of the target company is approached with great care. Thus, the main criterion for such a transaction is the assessment of the synergistic effect, and the main difficulty lies directly in the valuation of this effect, since the buyer has no confidence in its implementation.

This paper is devoted to assessing the synergy effect in a cross-border deal between the Carrefour Group and PJSC “Lenta”, taking into account current trends in the retail market, as well as an assessment of how this transaction will affect the key financial indicators of the Carrefour Group.

To achieve this goal, the author analyzed two of these companies, as well as current trends in the retail market. Taking them into account the synergy effect of the transaction was evaluated. In addition, as part of the study, the company PJSC Lenta was evaluated, and a model for mergers and acquisitions was built.

The result of this paper was the conclusion that this transaction was economically efficient, which means that with a similar transaction structure, most companies in the retail sector can achieve a similar effect. Moreover, this transaction will have a positive impact on the size of the retail market in Russia.
