Integrated Management and Legal Approach to Building an Effective Structure of the Company’s Governing Bodies

ABSTRACT This thesis explores the structure, types, and functions of the corporate governance bodies in the modern corporate management system. It describes the legal status of governance bodies and their members; analyzes the issues of their legal responsibility. The paper discusses issues of legal regulation of building governance structures in organizations of all forms of ownership, the development of corporate regulation in foreign countries and Russia, paying special attention to governance structures’ effectiveness, the criteria for such an assessment and the tools for its improvement. The work analyzes the structure of corporate governance bodies using the example of the company group and offers recommendations for its improvement. Academic and specialized sources on corporate management and law, open statistical data, and the author’s own materials, which act as a unique empirical material, were used. The thesis can be used by undergraduates and graduate students during "Corporate Law", "Corporate Governance", "Management" classes; to improve the skills of managers and lawyers in organizations, as well as to create and/or improve existing structures of corporate governance bodies in organizations.
