Civil Liability of Chief Executive Officers for Corporation's Illegal Conduct

The main objective of the study is to establish the boundaries of CEO's civil liability for corporation's illegal conduct. The author summarized theoretical approaches and judicial practice of foreign countries, conducted analysis of Russian judicial practice and examined compliance of this practice with key principles of legal liability. The study provides rationale for recognition of CEO's duty to comply with the law and examines the nature and the scope of this duty.
