This master’s thesis examines the civil liability the civil liability of a person, executing the functions of the sole executive body in economic societies under the Russian and French law from the point of view of comparative legal analysis. This is the first scientific study that compares the civil liability of the head of economic societies with French law and order in force, since no such studies have previously been undertaken. What could be the benefits of this approach? French doctrine, legislation and jurisprudence have an earlier history of development, they have formed some essential positions that may be interesting from the point of view of comparison with the Russian doctrine, legislation and jurisprudence, which in comparison are relatively new. In addition, the development and formation of the institute of civil liability of a head of company requires theoretical comprehension, finding a balance in legal regulation and law enforcement practice, expressed in the simultaneous motivation of the head of company to take a reasonable business risk and inevitability of his responsibility in event of causing harm by on his part. Thus, the hypothesis that emerges is that some provisions of French law may be useful and inspire the Russian legislator and vice versa.
