Sole Executive Body of the Corporate Governance of Economic Company

The study analyzes a sole executive body of the corporate governance of economic company. By analyzing rules of law, judicial practice and doctrine materials the author defines the term ‘sole executive body’, describes its features, types and its legal basis. The process of its formation and the process of modification and termination of powers of a person that executes functions of a sole executive body are analyzed. Moreover, the study contains thorough analysis of the process of bringing to liability of aforementioned person, including civil liability. This analysis has been conducted through examination of existing judicial practice. In order to solve existing problems and to eliminate existing contradictions that have been defined, the author suggests various legislation changes.
