Certain Aspects of Legal Regulation of International Turnkey Construction Contracts in the Oil and Gas Sector

The master’s thesis is dedicated to the EPC/Turnkey contracts in the oil & gas sector and their regulation by private international law. The author reviews the category of international construction contracts as such by defining its substance and structure. Specific reference is paid to the analysis of international private law governance of EPC contracts leading to the conclusion of paramount importance of lex constructionis. The paper determines the peculiarities of international EPC contracts for oil & gas area and gives an overview of applicable choice-of-law and substantive regulations existing in the US and the UK. Additional emphasis is given to the use of EPC model in the Russian oil & gas industry. The author also discovers that certain aspects of the international Turnkey construction contracts are highly likely to be governed by the law of the location of the construction site even if the other applicable law was chosen by the parties thereto.
