Responsibility of Controlling Persons for Losses Incurred through Their Fault to a Legal Entity

The work is devoted to the topic of liability of persons controlling a legal entity for losses caused through their fault. The main problem of both rulemaking and law enforcement in this area is the distinction between the risk limits of a legal entity and the responsibility of its regulatory bodies. In this paper, we tried to justify the relevance of this topic and related issues, to highlight the existing approaches to it, to offer common ways to resolve existing problems. Both doctrinal issues and enforcement issues are examined and investigated.
