Classical, Joint and Venture Capital Investment in Private International Law

The dissertation is devoted to the identification of distinctions of legal regulation of classical, venture capital funds and joint ventures in private international law. The author considers the concepts and distinctions of these forms of investment, and then draws the comparative analysis of their legal regulation. After examining accumulated case law and theoretical material, the author comes to the conclusion that the distinctions of these forms of investment derive from the investment objectives specific to each entity, and are confined to such legal characteristics, as the allocation of management functions, investor control over the activity, state supervision, base of potential investors, the right to withdraw from a fund or joint venture, organizational structure, legal guarantees of investment protection.
