In this paper author researches relationships between the out of competitive and competitive consternation of debtor`s transactions. In the first part author analyses grounds of two types of consternation. The second part induces information about legal implications of two types of avoidance. In the last part author proofs coexistence the out of competitive and the competitive consecrations in the Russian legal system.
