The relation of civil and criminal Law Qualification of abuse of author by Chief Executive Officer

This study is the ratio of the two main branches of law - private and public, namely civil and criminal law through a joint study of Art. 174 of the Civil Code of the Russian Federation with Art. 201 of the Criminal Code. Also, an attempt was made to give an answer to the question about the consequences of subsequent approval of a transaction made initially in violation of corporate procedures, and the criminal law characterization of subsequent approval of transactions. The purpose of the study is to study the civil law and criminal liability of the sole executive body for transactions involving persons outside the scope of their authority. This study focuses on the following tasks:  1. Studies of the legal nature of authority 2. Identification of elements of civil liability of the sole executive body provided for in Art. 174 of the Civil Code of the Russian Federation. 3. The identification of elements of criminal liability of the sole executive body provided for in Article. 201 of the Criminal Code. 4. Development of a mechanism for qualifying the actions of the sole executive body as a civil law violation and as a crime.
