The Impact of the Board of Directors' Structure on the Companies Financial Performance

The corporate governance concept is at the stage of active development in Russia, and gradually, Russian investors and companies’ top management come to realize the importance and complexity of the influence of the characteristics of corporate governance subjects on the firms’ performance. This master dissertation examines the relationship between the key board characteristics and company performance. We conducted an empirical study on a sample of Russian public companies from 10 different industries during the period 2013 - 2019. The results obtained led to the conclusion that there are essential characteristics of the board of directors that affect business performance, such as the number of directors with MBA, the proportion of independent directors, the political experience and the experience as a CEOs, as well as experience in foreign companies.
