This thesis is dedicated to analyzes of essence of the elements of unlawful actions of shareholders when they are brought to civil liability to a legal entity on the basis of paragraph 3 of Article 53.1 of the Civil Code of the Russian Federation. In the course of the research the author analyzes the specifics of the grounds of liability of shareholders to a legal entity, studies and generalizes approaches to the concept of wrongfulness as a necessary element of the composition of a civil offense, analyzes the content of the shareholder’s obligations established by the current legislation. The author considers the possibility of distinguishing elements of wrongfulness based on the amount of corporate control that the shareholders have.
