Development and Implementation of a Merge Approach for Large Alcohol Production Companies

Nowadays, in the context of the active development of globalization and the strengthening of integration processes in the global economy, companies use various forms of expansion to enter into the new markets. One of the most popular ways, along with franchising and licensing, is to restructure the business through Mergers and Acquisitions (M&A). Such deals are often complex in the organization from the legal, economic, tax and other aspects, but at the same time they give a significant synergy effect, which allows expanding existing activities and entering new product markets or new regions. When concluding mergers and acquisitions, it is important for companies not only to unite from a legal point of view, but also to become a single organization in reality. This is why integration process is very important for companies and it will be considered in this paper on the example of the process of merging the two companies operating in the market of alcoholic beverages production. The relevance of developing an approach to company merger integration is determined by the fact that any new M&A transaction is unique. For such deals, it is impossible to use a unified template each time without changing it, but it is important for companies to choose the right general approach to integration. Moreover, a competently planned and implemented integration process allows you to achieve the planned synergistic effects. High-quality integration allows us to unite the companies in all aspects, including business processes and corporate culture, which ultimately will strengthen its position in the market and ensure the growth of profitability and competitiveness of the company. The aim of this work is to develop and implement an approach for the merger integration of companies A and B. To achieve the above aim, it is necessary to perform the following tasks: 1. Describe the theory of M&A deals, conduct a review of approaches to project management for merger integration. 2. Analyze the key features of companies A and B, the reasons that prompted them to merge, organizational volume and IT infrastructure of companies. 3. Develop a high-level approach for the merger integration process of companies A and B. 4. Create a detailed plan for the merger of companies A and B, taking into account the features and specifics of the project. 5. Implement the documents accompanying the integration project: alternative plans, temporary procedures for the period of business shutdown, external and internal communications, and others. 6. To evaluate the success of the implementation of the merger integration approach for companies A and B. As a result, an approach for merger integration was developed successfully, considering both the approaches of leading consulting companies analyzed in the paper and the specifics of this particular transaction. A high-level merger plan has been drawn up and then it was detailed to specific tasks in MS Project plan. Various project documents were developed to support the process of implementing the merger integration approach. As a result, the project for the companies A and B merger integration was successfully implemented. The companies managed to complete all the planned steps on time, legal merge had happened according to plan, and the standard business volumes of shipments and production went without critical incidents in accordance with the plan for the smooth restoration of processes.
