Termination of the Contract by Business Entities

ANNOTATION. Termination of the contract by business entities. The prosperity of Russian business largely depends on the rational legal regulation of contractual relations. The author systematically examines the four components of termination (extrajudicial grounds, judicial grounds, order, consequences) with the help of laws, judicial practice and scientific opinions. Solutions to seven problems are proposed: incorrectness of certain legislative terms; cases of compulsory registration of the termination agreement in the context of the observance of the rights of third parties and business customs; controversial retroactive termination; correlation of consistent behavior and one-sided failure; the vagueness of economic criteria for the materiality of the violation and its foresight; the vagueness of requirements for a replacement transaction in the context of recovery; court diminution of the contractual nature of a settlement.
