Exclusion of the Participant from a Limited Liability Company

This study is an analysis of the institution of exclusion of a participant from a limited liability company. The institution of exclusion is considered as a sanction applied to a participant for a significant violation of their obligations to society. As the main criterion for the exclusion of a participant from the company, it is proposed to use the materiality of the breach committed by the participant of the company. The analysis of judicial practice given in the study allows us to determine an approximate list of grounds for excluding a participant from a limited liability company, which should be taken into account when carrying out practical activities.
