The master's thesis is devoted to the research of the functioning of the board of directors in the system of corporate governance bodies. Based on the analysis of the current legislation, legal doctrine, as well as judicial practice, the work considers issues of the competence of the board of directors, including the problems of its delimitation from other corporate governance bodies. The author also researches the procedure for forming the board of directors, paying special attention to the problems of the possibility of establishing additional qualification requirements for candidates for members of the board of directors, status issues, criteria and procedure for electing independent members of the board of directors. directors and the method of forming the board of directors. Within the framework of determining the procedure for organizing and holding a meeting of the board of directors, it was proposed to establish the concept and status of a corporate secretary. The author attempts to define the system of rights and duties of the board members and their content, defines the specifics of the legal consolidation of the relationship between the board member and the corporation, as well as the termination of the powers of the board members.
