Extraordinary Transactions: Problems of Legal Regulation and Court\'s Practice

The problems of legal regulation of the procedure for concluding and challenging extraordinary transactions are explored. The author analyzes the concept of extraordinary transactions, the existing classifications of large transactions depending on the methods of alienation of assets of economic companies. The work also considers the problems of applying an derivative claim to challenge extraordinary transactions in order to protect the interests of the company. Special attention is paid to the study of the problems of applying the standards of director integrity in the conclusion of large transactions in Russian and foreign practice. The obtained results of the final qualification work can be the subject of further research. The author's recommendations on improving legal regulation can serve as a basis for further research and subsequent changes in corporate legislation. The proposal to systematize judicial decisions in the Review of the Practice of the Supreme Court of the Russian Federation may contribute to the formation of uniform judicial practice.
