The Consequences of a Breach of a Corporate Contract Under Russian And Foreign Law

In the current master's thesis, a comprehensive analysis of civil-law regulation of consequences of violation of obligations from corporate contracts was carried out. The author reveals the main theoretical and practical issues related to the factors that determine the range of possible consequences of a breach of a corporate contract in various legal systems, conditions and peculiarities of the occurrence of these consequences. The author identifies the most important problems that arise in the course of implementing mechanisms of protection the violated rights of a bona fide party, and proposes the measures for their overcoming.
