Commercial Organisations' Transactions Made to The Detriment of Its Property Interests

This research presents a range of problems connected with the last civil reform and its impact on corporate law in part of related party transactions institute. Detriment as a cause for invalidating a transaction introduced in p.2 Article 174 Civil Code became a crucial novelty for challenging related party transactions, replacing previous too formal criteria of obligatory approval. In the light of such changes, it deserves special attention how the general rule of p.2 Article 174 Civil Code correlates the special regulation of related party institute established by the federal laws about Joint- Stock and Limited Liability Companies. The research is dedicated to the study of the question mentioned above, and concomitant problems covering the criteria of collusion, the controversial points of detriment measurement and problematic aspects of assessment of economical issues by courts.
