This research analyzes different aspects of responsibility of a single executive body in a limited liability company. The aim of this research is by analyzing legal sources and doctrine, by comparing Russian and foreign views and law enforcement, by gathering and studying jurisprudence to spot major problems in the sphere of director’s liability, and to find solution for them. It mostly focuses on civil responsibility but touches upon other kinds of responsibility as well. It also covers such aspects as interrelation of the limited liability company and its executive body, director's fiduciary duties, the problem of nominal directors and so on. We hope that the present research is going to be of practical use for law students, researchers, and legal practitioners.
