Warranties and Indemnities in Share Purchase Agreements: their Regulation under Russian and Foreign Laws

The main purpose of this thesis is to conduct a comparative analysis of warranties and indemnities in Russian and common law in the context of share sale and purchase transactions. The thesis consists of the introduction, two chapters, conclusion and the references list. The first chapter is dedicated to comparison of legal regulation of warranties in Russian and common law. The following themes are examined: general characteristics of warranties in Russian and common law, liability for breach of warranties and representations and the effect of purchaser’s knowledge potential liability. The final paragraph sums up the comparative analysis in the context of share sale and purchase transactions. The second chapter is devoted to comparison of legal regulation of indemnities in Russian and common law. Besides the general characteristics this chapter also examines the difference between warranties and indemnities in terms of assessing damages. The final paragraph sums up the comparative analysis in the context of share sale and purchase transactions. The conclusion of the thesis focuses on the efficiency of common law instruments in share sale and purchase transactions from the risk sharing point of view.
