Mergers and Acquisitions Performance Audit

In connection with implementation of mergers and acquisitions, which are widely used by companies to gain additional advantages in the market, there is a need to conduct an audit of the performance of such transactions. The main purpose of the work is to develop information and methodological support for the performance audit of mergers and acquisitions and its application on the example of the holding "STADA". The first chapter discusses the methodology for performance audit of mergers and acquisitions, including methods, criteria and tools for performance audit. In the second chapter, the information base for the performance audit of mergers and acquisitions is considered. The third chapter is devoted to the performance audit of mergers and acquisitions: the risks and internal control system of the audited entity are assessed, a strategy and plan for performance audit are developed, audit procedures are tested, including using heuristic methods, an integral efficiency criterion is developed, and recommendations are given to the company to improve the performance of mergers and acquisitions based on econometric modeling. As a result of the research, recommendations were formed for the company on the use of an integral indicator for evaluating the performance of integrations. In addition, the regression analysis revealed a statistically significant dependence of integration performance on the financial condition of the buyer company in the pharmaceutical industry. Recommendations were made to change the financial indicators of JSC "Nizhpharm" to improve the mergers and acquisitions performance.
