A mandatory offer is a necessary attribute of the takeover procedure which is one of the ways to develop any business seeking to expand. The purpose of this work is to formulate a rule for identification of persons obliged to send mandatory offer that would limit the scope of application of Chapter XI.1 of Federal law on Joint-Stock Companies to cases where a group of affiliated persons is actually able to establish corporate control in a public company. The author inquiries the concept and features of a mandatory offer, as well as its legal nature; conducts a critical assessment of the current rule of identification of persons obliged to send mandatory offer; and formulates a new rule for determining such persons.
