Due Diligence in the Activities of State Corporations and Other Legal Entities With a Predominant Participation of the State in Contractual Relations

Annotation: the paper raises the problem of using the principle of due diligence in the activities of state corporations (organizations with the predominant participation of the state) when conducting contract work in order to develop effective methods to improve the security of concluded transactions. In this regard, the approaches to understanding of due diligence, determined the significance of its use in the context of the research (including on the basis of the analysis of the statistics of the Central Bank of the Russian Federation on bad loans, statistics on Russia by the opened and bankrupt legal entities). It also highlights the specifics of implementing due diligence measures in state-owned companies, and describes the legal restrictions that are imposed on such companies under current legislation. The study analyzed three cases on the use of due diligence in the activities of state corporations and other legal entities with the predominant participation of the state in contractual relations, which in turn allowed: 1) identify critical errors in both economic security and corporate regulations that, in a given situation, lead to significant costs on the part of the companies in question; 2) prepare and conduct an expert survey of security and law enforcement officials on the key features of due diligence measures in state-owned companies; 3) based on the results obtained, draw certain conclusions and make suggestions.
