Shareholders' Agreements in Private International Law

Nowadays, huge number of joint ventures are being established in the world, including those with a foreign investor, in order to carry out joint business activities. When establishing a project company, especially with foreign investments, or when a foreign investor enters an existing company, it is important to regulate the relations between the participants of the company regarding its management, and distribute risks. This can be done with the help of a corporate agreement. The paper is divided into two chapters with six sections. The first chapter is devoted to the study of the formation of legal regulation of the institution of corporate contracts in foreign countries and in Russia, the identification of similar and different approaches to their regulation, the analysis of the legal nature of the corporate contract. The second chapter examines the conflict regulation of corporate agreements, as well as the problems arising in practice when the parties to a corporate agreement subordinate to foreign law.
